1. Who We Are and Acceptance of These Terms

These Terms of Use ("Terms") are a legal agreement between you ("you," "User," or "Customer") and ALEXANDER GOLOVKOV, operating under the trade name WealthMind Statements Converter and the website statementconverter.app (the "Service"), an Individual Entrepreneur registered in Georgia under Identification/Registration Number 305866649, with a registered address at Georgia, Tbilisi, Amberki Tabidze Street, N 43, Floor 11 ("Company," "we," "us," or "our").

By accessing or using the Service - including uploading a file, starting a conversion session, creating an account, or making a purchase - you agree to be bound by these Terms, our Privacy Policy and our Refund Policy, which are incorporated into these Terms by reference (together, the "Agreements"). If you do not agree to the Agreements, do not use the Service.

If you are using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Description of the Service

The Service allows you to upload bank statement files (e.g. PDF) and automatically convert them into other formats (e.g. CSV, Excel/XLSX) with optional data enrichment such as merchant-based transaction categorization. The Service is a file-conversion and data-enrichment tool. It is not:

• a bank, payment institution, or financial institution;
• a financial, tax, accounting, or investment adviser; or
• a document storage or backup service.

Converted output is only as accurate as the source file you upload and the legibility of that file. You are solely responsible for reviewing and verifying converted data before relying on it for accounting, tax, financial, or any other decision.

The Service is intended for limited-size statement conversion and is not designed as a large-volume statement processing service:

• each conversion session supports up to 3 statement files; and
• each statement file should contain no more than 150 transaction rows.

Statements that exceed these limits are not supported by the Service and may fail to process, process only partially, or produce incomplete output.

3. Session-Based Processing - No Storage of Your File Content

We designed the Service around data minimization:

• Each time you use the Service, a unique, non-identifying Session ID is generated to track that specific conversion transaction.
• Your uploaded file(s) and the data extracted from them are processed transiently, solely to perform the requested conversion, and are not retained by us once the conversion is complete or the session ends. We do not keep copies of your bank statements or their contents.
• We keep the Session ID (and associated transaction/billing metadata, such as the timestamp and amount charged) for a limited period for customer support, refund handling, fraud prevention, and legal/accounting purposes, as described in our Privacy Policy.
• Because we do not retain your file content, we generally cannot retrieve, reproduce, or re-deliver a past conversion. Please save your converted output before closing your session.

You are solely responsible for backing up your original files and your converted output.

4. Eligibility

The Service is intended for use by individuals who are at least 18 years old and who have the legal capacity to enter into a binding contract. By using the Service, you represent that you meet these requirements.

5. Accounts

If the Service offers account creation, you agree to provide accurate information, keep your login credentials confidential, and notify us promptly at support@statementconverter.app of any unauthorized use of your account. You are responsible for all activity that occurs under your account.

6. Payments, Pricing, and Paddle as Merchant of Record

6.1 Paddle as our payment provider. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Specifically, paid features of the Service are sold through Paddle.com Market Ltd / Paddle.com Inc. ("Paddle"), our payment processor and Merchant of Record. This means Paddle - not the Company directly - is the authorized reseller of the Service to you and appears as the merchant on your bank or card statement. Paddle handles checkout, invoicing, calculation and remittance of applicable sales tax/VAT, payment processing, and (as described in our Refund Policy) refund execution. For payment-specific questions (an unrecognized charge, a billing issue, or the status of an approved refund), you can also contact Paddle directly at paddle.net; questions about the Service itself are handled by us at support@statementconverter.app.

6.2 Two sets of terms. Your purchase transaction is also subject to Paddle's own Buyer Terms and checkout policies, available at paddle.com/legal. If there is a direct conflict between Paddle's Buyer Terms and these Terms regarding the checkout/billing transaction itself, Paddle's Buyer Terms will control for that transaction; for everything relating to your use of the Service itself, these Terms control.

6.3 Pricing and fee changes. All prices are as displayed at checkout, exclusive of taxes unless stated otherwise. We may change pricing for future purchases or subscription renewals at any time; where required, we or Paddle will give you reasonable advance notice before a price change applies to a recurring subscription.

6.4 Subscriptions. If you purchase a subscription, it will automatically renew for successive billing periods at the then-current price until you cancel. You may cancel at any time via your account dashboard or by emailing support@statementconverter.app; cancellation stops future renewals but does not retroactively refund amounts already charged, except as described in our Refund Policy.

7. Refunds

Refund eligibility is governed by our separate Refund Policy. In summary: because we do not store your file content, refund and dispute requests are evaluated using your Session ID. To request a refund, email support@statementconverter.app with your Session ID and a description of the issue.

8. Your Responsibilities and Prohibited Uses

You agree that you:

• own the files you upload, or have all necessary rights and consents (including from any third party whose data appears in the file) to upload and process them through the Service;
• will not upload files containing data you are not legally permitted to process (e.g. another person's financial data without authorization);
• will not use the Service for money laundering, fraud, or any other illegal purpose;
• will not attempt to reverse-engineer, decompile, probe, or scan the Service, or interfere with its normal operation (e.g. through excessive automated requests, denial-of-service activity, or bypassing rate limits);
• will not resell, sublicense, or provide unauthorized third-party access to the Service or its output at scale without our prior written consent; and
• will comply with all applicable laws in connection with your use of the Service.

We may suspend or terminate your access, without prior notice, if we reasonably believe you have violated these Terms or applicable law.

9. Intellectual Property

The Service, including its software, design, text, graphics, logos, and the "WealthMind Statements Converter" name and branding, is owned by the Company or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, no rights are granted to you in the Service itself.

You retain all ownership rights in the files you upload and in the converted output generated from them. We claim no ownership over your uploaded content or your converted files.

Feedback. If you send us feedback or suggestions about the Service, you grant us the right to use them without restriction or compensation to you.

10. Third-Party Services and Links

The Service may link to, or rely on, third-party services (including Paddle for payments, and hosting/analytics providers). We do not control and are not responsible for the content, security, or practices of third-party services. Your use of third-party services is governed by their own terms and privacy policies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) CONVERTED OUTPUT WILL BE 100% ACCURATE OR COMPLETE, PARTICULARLY WHERE THE SOURCE FILE IS LOW-QUALITY, NON-STANDARD, OR DAMAGED, OR WHERE A FILE EXCEEDS THE CURRENT-VERSION LIMITS DESCRIBED IN SECTION 2; OR (C) ANY ERRORS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK. NOTHING IN THIS SECTION LIMITS ANY WARRANTY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US (VIA PADDLE) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the above limitations apply only to the extent permitted by law, and nothing in this Section 12 limits liability that cannot lawfully be limited (e.g. liability for death, personal injury, or fraud caused by our gross negligence or willful misconduct, where applicable).

13. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, employees, and agents from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party right; or (c) content you upload to the Service, including any third-party data contained in it.

14. Term and Termination

These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access to the Service at our reasonable discretion, including for breach of these Terms, non-payment, suspected fraud or abuse, or if required by law. Sections of these Terms that by their nature should survive termination (including Sections 9, 11, 12, 13, and 15) will survive.

15. Governing Law and Dispute Resolution

15.1 Governing law. These Terms, and any dispute relating to your use of the Service (excluding the checkout/billing transaction itself, which is subject to Section 6.2), are governed by the laws of Georgia, without regard to its conflict-of-laws principles.

15.2 Consumer protections preserved. If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction that grants you mandatory local consumer-protection rights that cannot be waived by contract, nothing in this Section 15 removes those rights, and you may also be entitled to bring proceedings in the courts of your place of habitual residence.

15.3 Informal resolution first. Before filing a formal claim, please contact us at support@statementconverter.app - most issues can be resolved directly.

15.4 Venue. Subject to Section 15.2, any dispute that cannot be resolved informally will be submitted to the competent courts of Georgia.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, will make reasonable efforts to notify registered users (e.g. by email). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Miscellaneous

• Entire agreement. The Agreements constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements on this subject.
• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
• No waiver. Our failure to enforce any right or provision does not waive our right to enforce it later.
• Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and the Company.
